Welcome to PickupNinja! These Terms of Service ("Terms") govern your use of the PickupNinja mobile application and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By creating an account, accessing, or using PickupNinja, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and PickupNinja.

2. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Provide accurate and complete registration information
• Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

3.1 Account Registration

You must create an account to use certain features of our Service. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account

3.2 Account Types

PickupNinja offers two types of accounts:

• Customer Account: For booking and managing service requests
• Service Provider Account (Ninja): For accepting and fulfilling service requests. Ninja accounts require additional verification including identity documents, address proof, and skill certifications

3.3 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of Service

PickupNinja is a platform that connects customers with local service providers ("Ninjas") for various services including:

• Package and food delivery
• Home repair services (plumbing, electrical, carpentry, etc.)
• Cleaning and maintenance services
• Moving and relocation services
• Other professional and personal services

Important: PickupNinja acts solely as a technology platform connecting customers with independent service providers. We are not a service provider ourselves and do not employ the Ninjas who provide services through our platform.

5. Booking and Payment

5.1 Service Requests

When you book a service, you agree to:

• Provide accurate service details and location information
• Be available at the specified time and location
• Pay the agreed-upon price for the service
• Treat service providers with respect and professionalism

5.2 Pricing

Service pricing is determined based on:

• Service type and complexity
• Distance (for delivery services)
• Urgency level (express, urgent, standard, flexible)
• Time slots and scheduling preferences
• Platform fees and applicable taxes (GST)

All prices are displayed in Indian Rupees (INR) and include applicable taxes unless otherwise stated.

5.3 Payment

Payments are processed securely through Razorpay. Accepted payment methods include:

• UPI (Unified Payments Interface)
• Credit/Debit cards
• Net banking
• Digital wallets
• PickupNinja Wallet (prepaid balance)

5.4 Wallet

PickupNinja Wallet allows you to:

• Add money for future bookings
• Receive refunds and cashbacks
• Pay for services instantly

Wallet funds are non-transferable and non-refundable except in cases of account deletion or as required by law.

6. Cancellations and Refunds

6.1 Customer Cancellations

You may cancel a booking before a Ninja is assigned for a full refund. Cancellations after assignment may be subject to cancellation fees depending on the urgency level and timing.

6.2 Ninja Cancellations

If a Ninja cancels an accepted job, you will receive a full refund and priority matching with another available Ninja.

6.3 Refund Processing

Refunds are typically credited to your original payment method or PickupNinja Wallet within 5-7 business days.

7. Service Provider (Ninja) Terms

7.1 Independent Contractor Status

Ninjas are independent contractors, not employees of PickupNinja. You maintain complete control over when, where, and how much you work.

7.2 Verification Requirements

To become a Ninja, you must complete our verification process including:

• Government-issued photo ID verification
• Address proof submission
• Skill assessment and certification (for specialized services)
• Background check consent

7.3 Service Quality

As a Ninja, you agree to:

• Provide services professionally and competently
• Complete accepted jobs in a timely manner
• Communicate clearly with customers
• Maintain a minimum average rating
• Use OTP verification for job start and completion (where applicable)

7.4 Earnings and Payouts

Ninjas earn money from completed jobs, which is credited to their Ninja Wallet. Earnings can be withdrawn to your bank account through RazorpayX payout system, subject to:

• Minimum withdrawal amount requirements
• Bank account verification
• Processing times (typically 1-3 business days)

8. User Conduct and Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Provide false, misleading, or inaccurate information
• Harass, abuse, or harm other users
• Use the Service for fraudulent or illegal purposes
• Share your account credentials with others
• Attempt to circumvent platform fees by conducting transactions outside the app
• Manipulate ratings or reviews
• Reverse engineer, copy, or exploit our technology
• Upload malicious code, viruses, or harmful content

9. Ratings and Reviews

After service completion, customers may rate and review Ninjas, and Ninjas may rate customers. All ratings and reviews must be:

• Honest and based on actual experience
• Free from offensive language or personal attacks
• Relevant to the service provided

We reserve the right to remove reviews that violate our policies.

10. Real-Time Tracking and Location Services

Our Service uses GPS location tracking to:

• Match customers with nearby Ninjas
• Provide real-time tracking during active jobs
• Calculate distances for pricing
• Ensure safety and accountability

By using the Service, you consent to location tracking as described in our Privacy Policy.

11. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of PickupNinja and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The quality of services provided by Ninjas will meet your expectations

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICKUPNINJA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless PickupNinja, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your conduct in connection with the Service

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.

15.3 Customer-Ninja Disputes

For disputes between customers and Ninjas, we provide an in-app dispute resolution system. While we will make reasonable efforts to facilitate resolution, we are not obligated to resolve disputes and are not liable for the outcome.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the new Terms on this page
• Updating the "Last Updated" date
• Sending an in-app notification or email

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

17. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests by law enforcement
• Discontinuation of the Service

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PickupNinja regarding the use of the Service and supersede any prior agreements.
